I can’t begin to tell you how often I get emails from clients complaining to me AFTER they’ve used legalzoom.com.
They have TERRIBLE LegalZoom Reviews!
People who use legalzoom.com are typically looking for the cheapest way to file legal paper or similar products and services. What people don’t understand is that LegalZoom is great at marketing but they do not offer personalized service. Legalzoom is also known for being pretty bad at customer service.
Here’s some updated outline to get it easy for you..

I get multiple emails a week from people who give reviews of their experience with legalzoom.com. They complain about the products and services they receive continually, not to mention the poor customer support.
Don’t believe me?
I get LegalZoom reviews like this all the time…
LegalZoom reviews

Also, did you know that legalzoom.com charges low fees upfront but upsells their customers? (so they end up paying a LOT MORE down the line!)

And this one…

here is another one…

this one…

some people who emailed me got as far as getting a letter from a collection agency for not paying their renewal fees!

… don’t end up like Paul, Taryn, Collin or Mark.
Because LegalZoom is not a lawyer’s office, you’re not getting the guidance and expertise of a lawyer even though you’re still paying ridiculous prices for their services. Even if you sign up with a LegalZoom promo code, it will do little in offsetting the ultimate cost.
LegalZoom sounds appealing and easy but will end up likely costing you a lot of time and money you could have saved by just going to a real lawyer.
If you’re setting up a business and need a competent business lawyer, email me at sam@mollaeilaw.com so you can get personalized service. I have a customer rating of 4.8 plus, proof that I am someone who knows how to take care of my clients.
What is LegalZoom?
On LegalZoom’s website, it says that ‘Legal help is here.’ However, it later goes on to describe that ‘we are not a law turn or a substitute for an attorney or law firm.’
LegalZoom’s website is intentionally misleading. Browsing LegalZoom casually leads customers to believe that they’re under the care of a lawyer when all they’re doing is filling in a few forms and paying a lot of money for very little. It is up to you to decide if you think this makes LegalZoom legit.
LegalZoom is not a lawyer, but is it still worth it for certain legal purposes?
Is LegalZoom Legit When Compared to Guidance With an Attorney?
Is LegalZoom legitimate? LegalZoom is Not Worth it When Seeking the Best LLC Service.
With LegalZoom’s LLC formation service, you are paying extra fees for everything. Instead of wasting money with LegalZoom you can download the forms for an LLC for free, and pay the filing fee to the state if you want to do it yourself for some reason.
Additionally, LegalZoom charges for an EIN. You can apply for a free EIN online without paying unnecessary fees through legalzoom.com.
So, is Legal Zoom legit? If you’re going to file an LLC yourself, don’t waste your money on LegalZoom.
But if you want to have a hassle-free LLC process, hire a business lawyer and then hired registered agent services.
The role of a registered agent is to act as the company’s representative in all matters of law or regulation. They will file annual reports and pay taxes on behalf of the company, as well as provide other services such as:
- The registered agent can help you with paying the renewal of licenses
- The registered agent can help you prepare corporate minutes
- The registered agent can help you handle legal inquiries and document requests from government agencies
- The registered agent can help you file the documents with other agencies on behalf of the company
If you want help filing an LLC, you need to contact an actual business lawyer. Email me now at sam@mollaeilaw.com with any questions you have. . I represent the best LLC service law firm in the legal industry.
Is LegalZoom.com as Good as a Lawyer?
LegalZoom is not even close to being as good as a lawyer.
On LegalZoom’s website, their information portal has a disclaimer that the information provided is ‘not guaranteed to be correct, completely, or up to date.’ Why on earth would you pay hundreds of dollars for information that is supposedly “governed by our terms” and has no guarantee whatsoever?
Additionally, LegalZoom says that a scary 80% of people who fill in their legal forms do so incorrectly. Because legalzoom.com is not a lawyer and takes no responsibility for an inaccuracies, you’re really paying hundreds of dollars with no guarantee of a good outcome. All that time and money is just gone – totally wasted if you don’t have a competent business attorney by your side.
LegalZoom says it is not a law firm. Why would you trust it as much as you would trust a real business lawyer? Attorneys have an average customer rating of 4.8 who know their stuff. That is why you can count on the services of Sam Mollaei. Email sam@mollaeilaw.com today.
Legal Documents
Legal documents are used as agreements between two or more parties, they can be used to protect the interest of one or more parties and may include information about property, finances, or other aspects of the law. Legal papers can be anything from contracts to wills.
Whilst, legal services are used for a variety of reasons. They can be used for providing legal advice, drafting documents, and representing clients in a court of law. Some people use them to get the necessary documentation that they need to travel abroad or even just to buy property. Others use them when they feel like they have been unfairly treated by an employer or when they feel like their rights have been violated.
Legal services are very important for any business. They need to be aware of the legal implications of their actions and make sure they are in compliance with the law.
Legal services can help entrepreneurs with many aspects of their business. These include:
- Legal services can help you with business formation (e.g., incorporating as a corporation)
- Legal services can help you with corporate governance (e.g., obtaining board resolutions)
- Online legal services can help you with employment (e.g., drafting employment agreements)
- Online legal services can help you with intellectual property protection (e.g., trademark registration)
- Online legal services can help you with financial transactions (e.g., preparing a stock purchase agreement)
In today’s world, the use of legal services is becoming more and more common. There are many different reasons why people might need to hire a lawyer, from simple wills and contracts to complex business litigation. This article will explore the different scenarios where it might be necessary to use online legal services.
Legal services are not just for the rich and famous anymore. With the rise of online legal services, everyone has access to reputable lawyers who can help them with their specific needs.
Online legal services have made it possible for people from all walks of life to have access to quality representation when they need it most, without having to leave their homes or offices.
Apart from online legal services, other individuals prefer to hire a registered agent service on their behalf to do errands for them. So the questions arise, what does a registered agent service do?
The registered agent service is responsible for acting on behalf of the client in a way that is compliant with state and federal laws. They are also responsible for making sure that all records are up to date so that the client does not have to worry about it.
The Registered agent services is a group of companies that specialize in helping new businesses incorporate and form an LLC. They offer incorporation and formation services for both domestic and international business entities, as well as provide ongoing support, including:
- Registered agent services can assist you in filing taxes on behalf of the business,
- Registered agent services can provide guidance on what licenses or permits are required for the type of work the company does,
- Registered agent services can give you guidance on what licenses or permits are required for the type of work the company does,
- Registered agent services can draft contracts for their clients.
This is why choosing a credible lawyer is very vital. Even when you set up a limited liability company or any business formation, you really need professional legal advice. So, if you are up for the legal and smooth process and other online legal services, whether you’d like to formulate an operating agreement and business formation services, just send us an email at sam@mollaeilaw.com.
Is LegalZoom.com Worth it for Wills?
Wills and other critical legal documents are too important and too complicated for a site like LegalZoom.
Because LegalZoom is nothing more than filling in the blanks, you run the risk of accidentally disinheriting family members or rendering your will invalid. Mistakes on your will are worse than others because if there is a serious mistake with your do-it-yourself will, it will not come to light until you’re already gone and it’s too late.
Have a real lawyer write your will to have real security and peace of mind. Your family members will thank you. By seeking guidance with an attorney, you will not have to worry about your legacy or any family disputes after you die.
If you have any questions about writing your will correctly, email me now at sam@mollaeilaw.com.
Is LegalZoom.com Cheap?
LegalZoom is the least cost-effective legal service out there.
Customers of LegalZoom.com are essentially paying hundreds or thousands of dollars to do all of the work themselves. This would be ok if LegalZoom offered some kind of legal guidance or accuracy guarantee, but it does not.
LegalZoom is more expensive than doing it yourself and gives you much less than hiring a lawyer which is essentially the worst of both worlds. You deserve much better than that.
Is LegalZoom Good for LLC?
People on ConsumerAffairs have a lot of complaints about LegalZoom.
ConsumerAffairs has given LegalZoom an abysmal two and a half stars. Here are some of the things ConsumerAffairs reviewers had to say about LegalZoom:
“I have used these guys 3 times and every single time they claim I agreed to sign up for extra things they charge for. They are buried in the terms and conditions and they argue with you to cancel or remove…” – Dana of New York City, NY
“After the documents were submitted to my state, I came to find out that they were flawed documents and got rejected. I contacted LegalZoom to correct this, and they told me I had to do it myself because they don’t do this.” – Luis of OKC, OK
“These folks do not have any knowledge of the business they are doing and all they want is your money. Worst customer service I ever have seen.” – Venkat of Fairfield, CA
What Should I Use Instead of LegalZoom?
If you need legal assistance, hire an actual business lawyer.
There are a few very limited circumstances where you don’t need a lawyer. If you’re representing yourself in small claims court or responding to a subpoena in which you are not a party to an accident, you’re probably okay.
And if you’re planning to start your own business or need something to consult that requires legal attention, you need a real lawyer.
A lawyer is an essential part of a small business owner’s life. They are the one who helps to draft contracts and agreements, business formation, business advisory plan, business legal services, handle employment disputes and deals with intellectual property issues.
For anything more complicated than that, hire a real lawyer. Undoing mistakes made with do-it-yourself online ‘legal services’ will cost you a LOT more than going the legitimate route in the first place. That is why seeking guidance from an attorney is a smart thing to do.
What To Do Next
LegalZoom seems like a great alternative to using an actual lawyer, but will just end up costing you more time and money.
Using a fill-in-the-blank ‘legal service’ opens you up to legal issues down the road, lack of accuracy, and being on your own when things don’t work out. Hiring the services of a competent business lawyer gives you an actual legal professional who is dedicated to making sure your affairs are in order. Don’t rely on a firm or substitute legal company for your business’s legal needs. Forget network attorneys. Use a business attorney with a solid standing and, at least an average customer rating of 4.8 out of 5.5 stars.
A real lawyer is accountable for their representation of you and will work tirelessly to be sure your documents and affairs are to your advantage. The website, legalzoom.com only offers forms to fill out where no one cares about your case.
If you’re looking to get personal service for your business needs, email me at sam@mollaeilaw.com
Which Is Better? Incfile vs. LegalZoom
When exploring the best LLC service, customers often seek legalzoom.com for help or may consider the Incfile reviews online for making a decision for the best legal LLC service provider.
In most cases, people who choose Incfile, based on Incfile reviews do so to save money. Unless they have a LegalZoom promo code, they often choose Incfile instead of asking the questions, “Who is the best LLC attorney near me?”
After assessing Rocket Lawyer reviews and Incfile reviews, customers choose Incfile, as well, based on the more navigable features on the site’s platform. However, these features cannot direct you in benefiting from the dependable guidance with an attorney, or an attorney who has at least a rating of 4.8 of 5 stars in their reviews.
Also, consider this when you review Incfile vs. LegalZoom: Your legal services are limited by the type of package you pick. In addition, when it comes to assessing Incfile vs. LegalZoom, you need to remember that LegalZoom charges extra for additional products and services.
Scrutinize what is offered as well. When you choose a firm or a substitute legal service, you need to review the following, whether looking at Incfile vs. LegalZoom or Rocket Lawyer reviews.
- What rules does the site state is “governed by our terms?“
- What exactly are you paying for in products and services?
- Will you really get the type of customer support you need. You can realize this advantage if you have the guidance of an attorney versus dealing with network attorneys.
- Do products and services cover costs like a state fee for filing, a registered agent service, the creation of an annual report, or similar items?
Based on the poor average customer rating and response and Incfile reviews that I receive, you should stay away from a legal marketing firm or a substitute for taking care of your company’s legal requirements. One of the smartest things that you can ask is “Where can I find an LLC attorney near me?”
If you are seeking the best LLC service or want to work with an attorney who has, at the minimum, a customer rating of 4.8, you can get the help you need without hassle.
Attorneys have an average customer rating of 4.8 will work for you.

The internet is a great place to start an online business. It’s practically a gold mine of opportunity for anyone willing to take the risks and put in the time it takes. You’ll be able to reach more people than you could ever hope with traditional methods, gain access to new markets that might otherwise have been closed off from you, and create new opportunities for yourself every day just by being active on social media or other websites.
There are now so many ways that you can go about starting your own business online that it almost seems too good to be true at times! But here are some things you should know before diving into this world head first: Online businesses may seem like they’re low risk because they require less overhead compared to traditional businesses, but you should still expect to put in some hard work to be successful.
It’s important to do your research and find a profitable market to target before starting your business. This will help you avoid wasting time and money on a venture that won’t make any money.
You can work from anywhere in the world
Work from anywhere in the world. The best part about starting an online business is that you can work from anywhere in the world. This means you have no commute, and little to worry about but your work. If a 9-5 job seems too restricting for you, then why not use this opportunity to start a business?
There are plenty of opportunities out there waiting for people who want to take advantage of them! You might be surprised at how much money can be made with an online business if it is done correctly.

You’re also not limited by inventory, so you can sell as much or as little as you want. And because it’s all done online, you don’t have to worry about setting up a physical store or hiring employees.
Another big draw of online businesses is that you can often work from home. This gives you the flexibility to set your hours and take on as much or as little work as you want. You also don’t have to worry about commuting, which can save you a lot of time and money.
You’re in control of your income and schedule
There are several reasons why you should start an online business, but perhaps the most compelling one is that you’re in control of your income and schedule. With an online business, you decide how much work you want to put in, and you get to choose the hours during which you’ll work. That kind of freedom is hard to come by in traditional jobs.
Another great reason to start an online business is that it allows you to be your boss. You get to call all the shots and make all the decisions about your business. This can be a very rewarding experience, especially if you’ve always wanted to run your own company.
You can build a business based on your passions and skills
Online business ownership is not only a fulfilling career choice but also one that has more potential for success than any other industry on the planet. Plus, you don’t have to worry about getting dressed and going into an office every day – all of your work can be done from home!
There are many different types of online businesses you could start with, from writing e-books or software programs to starting a blog or selling products. But what’s most important is that before you jump headfirst into this exciting endeavor, there are some things that you should know first so as not to get discouraged and give up too quickly.

You can grow your business at your own pace

No need to worry about what the competition is doing or how much money they have because you are in control of all decisions related to your company’s growth. And this gives you ultimate freedom over every aspect of your enterprise. But another perk is that with an online business, not only will you be able to work from home but also from anywhere else in the world as long as there’s access to an internet connection which makes it even more convenient and rewarding!

In California, professionals such as lawyers, doctors, and accountants cannot form LLCs or standard corporations to operate their practices. Instead, they must establish a Professional Corporation (PC), which complies with state regulations and may be taxed as an S-Corporation to maximize tax benefits.
Each profession has unique requirements when forming a Professional Corporation. If done incorrectly, the Secretary of State may reject it, risking you to lawsuits and fines. You may even face discipline from the professional regulatory board.
Here’s a step-by-step guide on what a California Professional Corporation is and how to form it. We can help you with our Done-For-You Professional Corporation Registration Service.

What is a California Professional Corporation?
A California Professional Corporation (PC) is a specialized business entity created specifically for professionals like lawyers, doctors, accountants, and others who are required to have a state-issued license to practice. Unlike traditional corporations or LLCs, a PC allows licensed individuals to offer services under the legal protections of a corporation, while ensuring compliance with state regulations governing their profession.
Forming a Professional Corporation (PC) is essential in California, as many professionals are prohibited from using an LLC or standard corporation for their business.
According to the Moscone Knox Professional Corporation Act, you can only form California professional corporations for PROFESSIONAL services within a single profession requiring a license. For more info, click HERE.
A California Professional corporation can only lawfully render professional services through employees who are licensed to perform such services by the State.
The owner of the corporation usually requires a license for their profession. The State usually regulates them in some way.
The articles of incorporation of a professional service corporation must contain a specific statement that the corporation is a professional corporation within the Moscone Knox Professional Corporation Act.
No professional service corporation can render professional services in this California without a currently effective certificate of registration issued by the governmental agency regulating the profession in which such corporation is or proposes to be engaged.
Why Be a Professional Corporation Taxed as an S-Corporation?
Professional corporations default to C-Corporation status unless an S-Corporation election is made. This choice impacts your tax obligations, so it’s crucial to decide early on whether to file for S-Corp status based on your specific business and tax needs.
You SHOULD elect to have your corporation to be taxed as an S-Corporation. More on this below….
Requirements of a California Professional Corporation

Under the California Business and Professions Code, only individuals who hold valid professional licenses for their respective fields may serve as shareholders in a Professional Corporation.
This ensures that all ownership is directly tied to qualified professionals. If you’re forming a Professional Corporation, each shareholder must hold a license for the specific profession that the corporation is engaged in, aligning with state regulations to prevent unqualified ownership.
Name Requirements of Professional Corporations
Choosing a name for your Professional Corporation in California comes with specific rules that vary by profession. Your corporate name must meet the guidelines set by both the California Secretary of State and your professional licensing board. It should clearly indicate the type of professional services offered and often must include specific terms like “Professional Corporation” or “PC.”
Additionally, it’s important to ensure the name is distinguishable from any existing businesses registered with the Secretary of State.
It is essential to check the name availability with the California Secretary. It should be DISTINGUISHABLE from any other businesses on the California Secretary of State.
Each specific profession has its own name requirement, like particular words. Lastly, each domain has special suffix requirements; psychology will accept “P.C.” as the corporate ending.
Which Professions Need to Form a California Professional Corporation?
Unlike many other states, California does not allow professionals to form a registered limited liability company or professional limited liability company. In California, professionals must include either a professional services corporation or a registered limited liability partnership.
A professional service corporation qualified to render professional services in California must acquire all of the shares of a shareholder who is disqualified from rendering professional services in California or of a deceased shareholder licensed to render professional on their date of death services in this state.
Keep in mind that before forming a professional corporation, you should consider whether forming a professional service corporation (as opposed to other possible business entities such as LLC, LLP, etc.) is the best fit for your business.
A group of individuals interested in establishing a business together may have differing views on operating the company.
It may be worth it in the long run when you consider the necessity of protecting your personal and corporate assets and the potential profitability of your business.
To conclude, you should determine your particular business needs before forming a professional service corporation.
California Professional corporations formed outside California but intend to do business in the state must register with the California Secretary of State.
A Statement and Designation by Foreign Professional Corporation form must be completed and filed with the associated fees.
Foreign professional corporations must file a Certificate of Good Standing from the state where they were formed.

Can a Professional Corporation Be an S Corporation?

es, a Professional Corporation can choose to be taxed as an S Corporation, and in most cases, this is a recommended strategy for maximizing tax benefits. By electing S Corporation status, the company can avoid the “double taxation” that C Corporations face, where both the corporation and the individual owners are taxed on income.
Instead, an S Corporation allows profits (and certain losses) to pass directly to the shareholders’ individual tax returns, thus avoiding corporate tax rates and potentially reducing your overall tax burden.
You may avoid self-employment tax, saving you around 15.3%. You SHOULD have a business lawyer to prepare and file your Form 2553 with the IRS to get taxed as an S Corporation.
Unless you make this tax election and properly file the paperwork, your professional service corporation will default taxed as a C Corporation.
Email me at sam@mollaeilaw.com for any questions about the S-Corp election process.
S Corporation Advantages for Professional Corporations
Enjoy the following:
• Avoid self-employment tax
• Avoid double taxation
• Being taxed as a pass-through entity like LLCs
• Pass losses from the business to offset your income tax liability
When in doubt, contact me at sam@mollaeilaw.com so I can walk you through it.
Can I Form an LLC For My Professional Business?

Most states allow professionals to open Professional LLC (PLLCs) to practice their professions, but California does NOT permit licensed professionals to form any LLC.
California Revised Uniform Limited Liability Company Act rules that companies offering professional services must be registered as Professional Corporations or Limited Liability Companies.
Can A Disqualified Person Form A Professional Corporation?
If you’re licensed but disqualified, you cannot create a professional service corporation or be its director, officer, or shareholder.
Below is the guide to starting your professional corporation.
Step 1: Define Your Corporation
You may ask first:
- What legal entity my professional corporation will be considered?
- What is the tax regime for my entity in California?
While most states allow professionals to open PLLCs, California is otherwise. California Revised Uniform Limited Liability Company Act requires your company to register as a Corporation for a professional service. Source
By default, your corporation will be taxed as a C-Corp. Alternatively, you may opt for a tax election so that it will be taxed as an S-Corp instead.
Your Professional Service Corporation can and should be an S-Corp. by filing Form 2553 with the IRS through a business lawyer. Your company needs an identity.
You need a name, an address, a strategic location, and a clear business goal.
To legally form Your Professional Corporation in California, the first step is to file Articles of Incorporation with the Secretary of State. This document must include the corporation’s name, address, purpose, and the names of shareholders and directors, along with other critical details.
This document must include key information like your corporation’s name, physical business address, number of authorized shares, and the primary purpose of your corporation (which should reference the type of professional services you provide).
Additionally, ensure you designate an agent for service of process, who will receive any legal documents on behalf of your corporation.
The requirements for each category depend on the professional service your corporation specializes in, and failure to comply may result in fines or rejection.
- The corporation’s name must be distinguishable from any other business. Check it here.
- Each profession will have its own name requirement.
- It should have special suffix requirements as the corporate ending.
Follow the instructions provided with the form for completing and filing your articles of incorporation.
Bonus Material: Check our easy Done-For-You Professional Corporation Registration service. Email me at sam@mollaeilaw.com or call us here.
Step 2: Appoint Directors
Let’s talk about who’s in charge. Appoint the directors of your corporation.
A California Professional Corporation is required to appoint at least three directors, unless there are fewer than three shareholders in the company. Each director will be responsible for overseeing the corporation’s operations and governance.
This structure ensures that the corporation meets its legal obligations under California Corporations Code section 13403. Be sure to document this decision in your corporate minutes, as these are required for proper corporate governance.
A professional service corporation is a corporation for business owners who work in specialized fields. In California, professional corporations are established under the Moscone-Knox Professional Corporation Act, California Corporations Code section 13400-13410.
Step 3: Draft Corporate Bylaws
Create detailed corporate bylaws that establish the rules and guidelines for your Professional Corporation’s day-to-day operations.
Corporate bylaws are essential for outlining how the corporation will be managed.
These bylaws are critical for ensuring the smooth operation of your corporation and must comply with state law. Having thorough and clear bylaws will also protect your corporation in the event of a legal dispute or audit.
Professional Corporations should use specific language in their bylaws and abide by certain criteria and standards. They need a business lawyer’s advice in drafting laws.
Step 4: Get Your EIN
Back to taxes! Much like a Social Security number, an EIN (Employer Identification Number), or Tax ID, is a reference number that’s unique to your company.
You need an EIN when:
- Hiring employees;
- Filing federal taxes;
- Applying for local permits/licenses;
- Applying for loans/federal financial assistance programs.
You can do this online, by fax, or post, provided you have a Social Security Number (SSN). Learn more on the IRS website here.
Step 5: File a Statement of Information
Every professional corporation must file a Statement of Information with the California Secretary of State within 90 days of formation.
This document includes updated details about the corporation’s officers, directors, and agent of process, and it must be renewed annually.
Be careful with the deadlines and remember to resubmit it yearly. It must be filed within the first 90 days of registration. Then, file it annually if there are changes. Use this link to register online.
Step 6: File Form 2553 for S-Corporation Tax Election
To elect S-Corporation status for your professional corporation, file IRS Form 2553 within 75 days of incorporation. This allows for pass-through taxation, avoiding the double taxation that applies to C-Corporations.
Let an attorney help you with this. Check our Done-For-You Professional Corporation Registration service. Email me at sam@mollaeilaw.com or call me today here.
Bonus Material: You can read more about this topic here.
Step 7: Pay Your Taxes and Fees to the California Franchise Board
All professional corporations in California are required to pay a minimum annual tax of $800 to the California Franchise Tax Board (FTB), starting in the first year of formation. Your first payment is due by the 15th day of the fourth month after filing, and subsequent payments are due each April 15th. Failing to make this payment on time can result in penalties, so it’s crucial to stay on top of your corporation’s tax obligations. Consulting a tax professional can help ensure you meet all requirements and avoid unnecessary fines.
Your first Franchise Tax payment is due by the 15th day of the 4th month after filing. Then, every year after your first payment, it is due by April 15th, and failure to pay before the deadline can have serious consequences.
Hire an accountant to help you out. You can contact the California Franchise Tax Board (FTB) for any taxation-related questions.
Bonus Material: Consult the FTB website for more information.
Step 8: Register With the EDD
Do you plan on hiring any employees? Source
Register as an employer with the California Employment Development Department (EDD). You have to pay payroll tax even if your corporation only has a president without other employees and is paid over $100.
Register your EDD payroll tax account number here.

10. MORE LEGAL PAPERWORK! (or maybe not…)

What’s the Best State to Incorporate In?
-
by Sam Mollaei
- Start Your Business Here »
The state where you choose to incorporate is important. So, what is the best state to incorporate in?
Income tax, filing fees, and franchise taxes vary from state to state.
There are countless stories of people incorporating in different states for tax benefits and other reasons.
The following information will help you decide
The Best State to Incorporate In
Very simply, the best state to incorporate in is the state where you plan to do most of your business.
While people save money incorporating in Wyoming, Delaware, or Nevada, the state in which you incorporate should still reflect the location you choose for your business hub.
After all, why not go with a state you already know?
- Incorporate In May Be Your Own State
- Best State to Incorporate In a State Outside Your Own
- The Advantages of Registering in Wyoming
- Second Best State to Incorporate In
- What Happens Next
- Basic Steps for Registration
The Best State to Incorporate In May Be Your Own State
You can choose a state that offers business-friendly and tax advantages too. However, choosing your state may be the best business to incorporate in for the following three reasons.
1. Convenience
It is more convenient to incorporate in the state for your business location as you already know what to expect and have easier access to government offices and the court system.
2. Choosing or Changing the Business Name Is Simpler
By incorporating your business in your own state, you can choose a business name with more ease or change it accordingly.
3. The Payment of Taxes and Fees Shows Your Commitment
While taxes and fees may be more in your state, incorporating in your own state also shows you are making a commitment to making a living in that state.

Choosing the Best State to Incorporate In a State Outside Your Own
If you do business in your state and other locations outside your state, you must register in another state as a foreign entity.
If you need to do this, the best state to incorporate in is usually cost-and-business-friendly Wyoming, Delaware, or Nevada.
Regardless of where you choose to “set up shop,” you need to make sure all the proper steps are followed and the legal paperwork is in place.

Selecting the Best State to Incorporate In – The Advantages of Registering in Wyoming
One of the best states to incorporate in, from a cost perspective, is Wyoming.
So, if you want to register your business as a foreign entity, or simply wish to save money, I highly recommend choosing this state.
Nevada and Delaware may receive a lot of press when it comes to incorporation.
However, Wyoming has a long and distinguished history of offering companies economic incentives.
That is why the state is the desired location for startups and entrepreneurs.
Mollaei Law Legal Fact: Did you know that Wyoming was the first state in the U.S. to allow businesses to create corporations? Wyoming state law granted permission for the formation of limited liability companies (LLCs) in 1977
Incentives for Incorporation
I like Wyoming for incorporating a business because it offers attractive incentives to businesses. For example:
- Wyoming does not assess a corporate state income tax or a franchise tax for a business that chooses to incorporate.
- The yearly report filing fee is under $100.
- The state does not collect personal income tax.
- The Wyoming sales tax is low – 4%.
As you can see, from the above incentives, you can definitely save money when you choose to register your business in the Equality State.

However, with that being said, you may find it easier to launch a remote business in Delaware or Nevada, as these states offer more incentives for businesses that are not directly connected to them.
The Second Best State to Incorporate In
If you choose to operate a business outside of Delaware, it is better to do so as a large enterprise with shareholders.
That’s because the state offers more flexibility to larger companies. The second best business to incorporate in, as a remote business, is Nevada.
Reasons for Incorporating in Nevada
Below are some of the reasons for registering your business in the Silver State.
Foreign Entity Registration
You can incorporate in Nevada if you don’t intend to run your company in the state by registering as a foreign entity. Many companies that operate in another state also incorporate in Nevada.
No State Taxes
As a Nevada business, you do not have to pay state taxes, such as corporate income tax, gift tax, admissions tax, or franchise tax. If you do live in another state, however, you usually will have to pay taxes to that state.
I can help with the tax and legal details for a Nevada incorporation. Contact me now. Email sam@mollaeilaw.com
More Privacy
If you are concerned about privacy, Nevada is a good choice for incorporation. The state does not require businesses to list the names of their directors. You can enjoy total anonymity.
Instead, you can name your attorney as the person of record, for business activities.

Increased Asset Protection
All lawsuits that impact your corporation stay with your business in Nevada. Some states have loopholes that hold business owners liable for unforeseen damages.
In Nevada, you are not required to list corporate assets – they are only required for federal records. Therefore, you enjoy increased asset protection.
What Happens Next?
Once you figure out the best state to incorporate in, you can learn more about registration. Each state has its own set of rules and regulations. Therefore, make sure you have the proper legal support.
Give me a call or email sam@mollaeilaw.com to receive the legal guidance you need today.
Basic Steps for Registration
After you decide to incorporate, you will need to do the following activities:
- File articles or organization (for an LLC) or articles of incorporation (for a corporation).
- Apply for an employer identification number or EIN for tax identification purposes and to apply for a business bank account.
- Register your business and, if incorporating outside your business-based address, register your company as “doing business” as a foregin entity.
Each state has its own rules about foreign entity registration. That is why you need to rely on the services of a business attorney. - Ask your business attorney about your tax responsibilities in the state of formation as well as any state you register as a foreign entity.
As you can see, registering and incorporating a business is not all that cut-and-dried. You will have to discuss the matter with a qualified attorney.
